The Nigerian National Petroleum Company Limited (NNPC Ltd.) has secured a significant legal victory at the Court of Appeal, Abuja Division, effectively overturning a previous Federal High Court ruling that had ordered the company to pay ₦5 billion in damages to Senator Ifeanyi Araraume.
The appellate court’s judgement, delivered on August 8, 2025, upheld NNPC Ltd.’s appeal against the April 2023 ruling that had nullified the removal of Araraume as non-executive Chairman of the NNPC Board. The Federal High Court had earlier declared the removal unlawful and awarded Araraume ₦5 billion in compensation for damages suffered.
However, the Court of Appeal disagreed with that position, finding that the claim brought by Senator Araraume was statute-barred, among other legal errors identified in the lower court’s ruling. The judgement effectively quashes the ₦5 billion damages award and validates the actions and decisions of the NNPC Board made since 2021.
Legal analysts note that the decision not only saves the national oil company from a significant financial liability but also eliminates a legal uncertainty that could have cast doubt on the legitimacy of board decisions taken over the past four years.
NNPC Ltd., in an official statement released today, welcomed the judgement, describing it as a landmark moment that secures governance stability and reinforces corporate governance principles within Nigeria’s oil and gas sector.
“This decision sets a crucial precedent in Nigerian corporate law and ensures that the strategic decisions and policy directions of the NNPC Board since 2021 remain valid and enforceable,” the company said.
The ruling is expected to bolster investor confidence in Nigeria’s energy sector by removing a layer of legal ambiguity surrounding the governance structure of the nation’s oil corporation.
Senator Araraume has not yet issued a statement in response to the appellate court’s decision.
